Intended Audience: Commercial and development bankers, central bankers, investment and merchant bankers, managers of mutual and investment funds, lawyers, and financial advisors.

Course Objectives: This seminar will provide participants with a practical understanding of the legal structures involved in most major types of cross-border transactions. Class discussion, group presentations and written assignments will emphasize the structure and the processes of legal transactions. A vast majority of legal documentation fits generic forms, in part because of legal requirements, in part because of custom and practice and in part because of commercial demands. By understanding these archetypes, participants will be well equipped to identify which portions of a legal transaction require attention. Ultimately, this approach is designed to provide the participants with a practical understanding of what happens in a legal negotiation and in creating legally effective documentation of a business agreement.

Course Structure

The course will meet each day from 10 a.m. until 5 p.m. Classroom sessions will be held from 10 a.m. until 12 p.m. and from 3 p.m. until 5 p.m. Students will be expected to complete reading and other assignments between 1 p.m. and 3 p.m.
